StockGenie provides AI-powered stock market monitoring and analysis tools, including:

• Real-time market data and alerts
• AI-powered stock analysis and research
• Customizable watchlist and alert rules
• Technical indicator monitoring (VWAP, moving averages, RSI, etc.)
• Paper trading and position tracking (available on select paid plans)
• Automated trading capabilities (available on premium plans)

The Service is designed for informational and educational purposes. It is not financial advice, and we are not a registered investment advisor, broker-dealer, or financial planner.

3. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

The Service is currently available only to users in jurisdictions where such services are lawful. You are responsible for ensuring that your use of the Service complies with all applicable local laws.

4. Account Registration

To access certain features, you must create an account. You agree to:

We reserve the right to modify pricing, features, or tier structure at any time. Existing subscribers will receive at least 30 days' advance notice of any changes that increase fees or materially reduce features.

5.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due at the start of each billing period
• All fees are non-refundable except as required by law or our 30-day money-back guarantee (for first-time subscribers only)
• We use third-party payment processors; your payment information is subject to their privacy policies

5.3 Free Trial

We may offer free trials for paid tiers. Trial duration and terms are specified during signup. After the trial period, your subscription will automatically renew at the then-current standard price unless you cancel before the trial ends. You will not be charged during the trial period.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We offer a 30-day money-back guarantee for first-time subscribers who are not satisfied with the Service.

6. Acceptable Use Policy

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include any right to:

• Resell or make commercial use of the Service or its content
• Collect and use product listings, descriptions, or prices for commercial benefit
• Make derivative uses of the Service or its content
• Download or copy account information for the benefit of another merchant

8. User-Generated Content

You retain ownership of content you create using the Service (watchlists, alert rules, feedback, etc.). However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, reproduce, modify, and distribute your content to provide the Service
• Create aggregated, anonymized analytics to improve our Service
• Display your feedback or testimonials (with your consent)

You represent and warrant that you own or have necessary rights to any content you submit and that such content does not violate any third-party rights or applicable laws.

9. Third-Party Services and Links

Our Service may contain links to third-party websites, services, and market data providers. We are not responsible for:

• The content, privacy policies, or practices of third-party sites
• The accuracy or reliability of third-party market data
• Any damages or losses caused by your use of third-party services

10.2 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. Market data may be delayed or inaccurate due to factors beyond our control.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XLABS7 LLC SHALL NOT BE LIABLE FOR:

• Trading losses or investment decisions made based on our Service
• Missed alerts, delayed data, or system downtime
• Errors in AI-generated analysis or recommendations
• Unauthorized access to your account or data breaches (except where caused by our gross negligence)
• Any indirect, incidental, consequential, special, or punitive damages

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Xlabs7 LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Trading losses or investment decisions you make

12. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We may also modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

For material changes that negatively affect your rights, we will provide at least 30 days' notice via email or in-app notification.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Prolonged inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your account data after 90 days, except where retention is required by law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Investment Disclaimer, constitute the entire agreement between you and Xlabs7 LLC regarding the Service and supersede all prior agreements and understandings.
